PURPOSE:
To operate the Resource Centre in a business-like manner and provide for the sale and borrowing of books and educational materials and equipment.
RESPONSIBILITIES:
The Resource Centre, through the Board of Directors, is responsible to the Division of Communication of Lambton Presbytery.
ORGANIZATION:
1. The Resource Centre will have a seven member board of Directors. Members should be familiar with good business practices as well as represent a cross-section of Presbytery. The Board should consist of at least one member from the Division of Communication, one member from the Division of Administration and Stewardship and one member from the congregation housing the Resource Centre. The remaining members will be drawn from the Presbytery at large.
2. The Directors will be nominated annually by the Division of Communication and be approved by Presbytery at the June meeting.
3. The elected term of office will be from June 1 to May 31, with the normal term extending over two years. Directors are expected to serve no more than four years on a continuous basis. No more than two directors should retire each year.
4. The Chairperson of the Board and the Secretary will be elected annually by the Board of Directors at the first Board meeting after the June election.
5. The Manager and the Treasurer of the Resource Centre will be appointed by the Board of Directors annually at the February meeting and will be non-voting members of the Board.
6. The Board of Directors will meet a minimum of four times per year (September, November, February, June) at the Resource Centre at least one week prior to the Presbytery meeting, the time and date being at the discretion of the Chairperson. The Chair may call extra meetings as required.
RESPONSIBILITIES OF THE BOARD OF DIRECTORS
1.To ensure that the Resource Centre is operated in a business-like manner and provides a Service to Presbytery and community which includes:
maintaining an inventory of books and supplies for sale or loan
2. Appoint the Manager and Treasurer on an annual basis and ensure that adequate staff is available to operate the Centre.
3. Establish the honorariums for the Manager and Treasurer annually.
4. Assist the Manager in obtaining new resources, such as staff and equipment.
5. Assist the Manager to develop Operating and Capital budgets on an annual basis. (Budgets to be made available to the Division of Administration and Stewardship of Presbytery by the end of September for the next calendar year).
6. Develop short and long term plans for the Centre.
7. Ensure that the financial records are kept up to date and financial statements, including profit and loss, are reported annually to the Board, as well as general reporting to the Board on a regular basis. The audited annual financial statements shall be reported to Presbytery.
8. Ensure that the on-going needs and concerns of the staff are being addressed.
GENERAL:
1. The Chairperson of the Board of Directors will report minutes, budgets and reports on a regular basis to the Convenor of the Division of Communication, who will report the activities of the Centre to the Presbytery.
